Terms of Use

(1) General information

  1. These terms of use apply to the use of the Steady website and the customer login area by users. Users' own terms and conditions are not accepted within the scope of this user relationship and have no effect even if Steady is aware of them.
  1. By using thewebsite and registering in the login area, you agree to the following terms and conditions. Please read them carefully before using the website or creating a user account.
  1. The provider of the website and the customer login area is Steady Protocol (Europe) GmbH. You can find more information about the provider and how to make contact in the website's legal notice.

(2) Using the website

  1. On Steady’s website users can obtain information about the services and products offered by Steady and use the services offered there.
  1. Despite careful efforts, Steady assumes no liability or guarantee for the accuracy and timeliness of the content provided on the website. Furthermore, the information on the website is no substitute for individual advice.
  1. Steady reserves the right to change or discontinue the content and services provided on the website at any time.

(3) Customer area
‍

  1. At the customer area, users can get an overview of their contractual relationship with Steady in a dashboard and also use the services available there. Furthermore transactions can be initiated and tracked in the customer area.
  1. In the registration process for the creation of a user profile, the interested party must provide various details, in particular their surname, first name, company name, country, federal state, investment volume, bank and the address of their crypto wallet. Anonymous use is not possible. When a contract of use is established, the data is processed in accordance with the data protection declaration. If an interested party is rejected during the registration process, no data will be stored.
  1. By creating a user profile, a contract for the use of the customer area is concluded between the user and Steady. There is no right to obtain a user account. Even after the establishment a user account, Steady reserves the right to exercise its house rules.
  1. Steady reserves the right to block or terminate the user account without notice in the event of breaches of these terms of use or suspected fraudulent activities. Furthermore, Steady is entitled to delete user accounts in the event of inactivity and prior notification by setting a deadline.
  1. Users have no right to constant availability of the customer area or the content and services provided there. Furthermore, Steady does not guarantee that the content and services can be used as intended by the users. 
  1. Steady is entitled to restrict or expand the content and services of the portal, both in terms of content and technically, while considering the legitimate interests of the users.

(4) Obligations of the user

  1. Users are obliged to provide current, complete and truthful information during the registration process. Furthermore, users are obliged to keep their login details confidential and out of reach of third parties. In this respect, users are obliged to take up-to-date and common security measures. 
  1. Use of the website and the customer area is not permitted if the specific type of use violates these terms of use, applicable laws (e.g. criminal laws), third-party rights (e.g. copyright, trademark or personal rights) or good faith. Users are also prohibited from actions that impair the operation of the website or serve to circumvent security functions.
  1. In the event of unlawful use in accordance with the above paragraph, users shall indemnify Steady against all third-party claims asserted against Steady due to the unlawful use. In the event of a claim against Steady, users are obliged to cooperate appropriately in the defense against the asserted claim.

(5) Rights of use, copyrights

  1. Users are granted a simple, limited, non-exclusive, non-transferable license to access the website and when registered for the customer area. Any other use, including the reproduction, modification, distribution or sale of the contents of the website, requires the prior written consent of Steady.
  1. All contents of the website, including but not limited to texts, graphics, logos, images and software, are protected by copyright, trademark law and other laws for the protection of intellectual property.

(6) Liability
‍

  1. Steady is liable for damage caused by intent or gross negligence or due to the absence of a warranted characteristic, whereby the amount of liability is unlimited in the case of intent and limited to typical, foreseeable damage in the case of gross negligence. In the event of a breach of a material contractual obligation, in the event of default by the debtor or impossibility of performance for which Steady is responsible due to slight negligence, Steady's liability shall be limited to the typical, foreseeable damage. Material contractual obligations are those which are directly related to the fulfillment of the contractual purpose (main performance obligations).
  1. The above limitations of liability shall not apply in the event of culpable injury to life, body or health or in the event of mandatory statutory provisions to the contrary. Furthermore, the limitations of liability shall not apply to claims under the Product Liability Act or if Steady gives a guarantee.
  1. Insofar as Steady's liability is limited, this limitation shall also apply in favor of Steady's legal representatives and employees as well as other persons working for Steady (vicarious agents).

(7) Final provisions

  1. Steady collects data when you use the website and the services offered there. For details, please refer to our privacy policy.
  1. Steady is entitled to amend and supplement the terms of use at any time, insofar as this is necessary due to changes in the law, official requirements or changes in the technical framework conditions.
  1. The applicable law is the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods and the provisions of international private law. 
  1. If users are merchants, the place of jurisdiction shall be the registered office of Steady.

  2. Should individual conditions be invalid, this shall not affect the validity of the remaining conditions. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision and the mutual interest of the parties.
